FAQ For Clerks Clerks' Overview Of Revised Article 9 New Filing Forms Reasons To Reject Under Revised Article 9


The following is a quick reference for Clerks' under revised Article 9:

1 ) Terminology
a) Under Revised Article 9, UCC-1s are called "Financing Statements."
b) Under Revised Article 9, UCC-3s are called "Amendments."
c) Attachments are called UCC Addendums

2) Where to file a UCC document
a) The place to file a FINANCING STATEMENT (UCC-1) remains the same as it did before Revised Article 9, with the clerk of the superior court of any county in the state of Georgia.

b) The place to file an AMENDMENT (UCC-3) remains the same as before Revised Article 9. Any subsequent filings affecting an original UCC financing statement filed on or after January 1, 1995, shall be filed with the filing officer of the county where the original UCC financing statement was filed.

3) Filing Requirements
a) National Form will be accepted (8 1/2" x 11") and Georgia form until midnight on December 31, 2001. The form must be typed or computer generated.

b) Minimum information required for filing includes 1) Debtor name, 2) Secured party name or representative, 3) indication of the collateral to be covered, and 4) where the collateral described is consumer goods and the obligation is $5,000 or less and gives the maturity date of the obligation or states there is not one.

4) Rejections
There is a specific set of reasons that a UCC Financing Statement may be rejected by the Clerk of Superior Court. See the tab above.

5) Major Changes for Clerk's
a) Signatures are no longer required on the UCC

b) SSN/TIN is no longer required

c) UCC-2's are eliminated

d) UCC's will be filed in the state of incorporation of the business or where the debtor resides if it is an individual.

e) If a record is rejected by the Clerk, the clerk must send a notice to the filing party stating the reasons for the rejection and the date and time the record would have been filed. The Authority has developed a standard form that Clerks may use.

f) New forms are being used - UCC Financing Statement, UCC Addendum, UCC Amendment, UCC Amendment Addendum.
